Terms of Service

By accessing or using Signelio's services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you are using the service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these terms. Your continued use of the platform constitutes ongoing acceptance of these terms and any future modifications.

Signelio provides a cloud-based electronic signature platform that enables users to prepare, send, sign, and manage documents digitally. Our service includes document creation tools, starter preset and draft preparation workflows, signature request workflows, audit trails, and secure document storage. We may update, modify, or discontinue features of the service at any time with reasonable notice to active subscribers.

To use Signelio, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify Signelio immediately of any unauthorized access or security breach. We reserve the right to suspend accounts that violate these terms or pose a security risk.

You agree to use Signelio only for lawful purposes and in accordance with these terms. You shall not use the service to transmit fraudulent, misleading, or illegal documents, or to forge signatures or impersonate another person. You are solely responsible for the content of documents you upload, send, or sign through the platform.

All intellectual property rights in the Signelio platform, including software, designs, trademarks, and documentation, are owned by AFFSPACE LIMITED or its licensors. Your use of the service does not grant you any ownership rights. You retain all rights to the content you upload, but grant us a limited license to process and store it as necessary to provide the service.

Signelio's electronic signatures comply with the ESIGN Act, UETA, and eIDAS regulations where applicable. Documents signed through our platform are intended to be legally binding and enforceable. However, certain document types may require wet-ink signatures under specific jurisdictions. It is your responsibility to ensure that electronic signatures are appropriate for your use case.

Paid subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as expressly stated in our refund policy. We reserve the right to modify pricing with 30 days' prior notice. Failure to pay may result in service suspension or account termination.

To the maximum extent permitted by law, Signelio shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service. Our total liability for any claim shall not exceed the amount you paid to us in the twelve months preceding the event giving rise to the claim.

You agree to indemnify, defend, and hold harmless Signelio, its officers, directors, employees, and agents from any claims, liabilities, damages, or expenses arising from your use of the service, your violation of these terms, or your infringement of any third-party rights. This obligation survives termination of your account.

Either party may terminate this agreement at any time. You may close your account through the account settings page. Signelio may suspend or terminate your access for violation of these terms, non-payment, or if required by law. Upon termination, your right to use the service ceases immediately, though we will provide reasonable time to export your data.

Any disputes arising from these terms or your use of Signelio shall first be addressed through good-faith discussions between the parties. If a dispute cannot be resolved informally, it shall be finally resolved by binding arbitration seated in Hong Kong, unless applicable law requires another forum.

These Terms of Service shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. Any legal action permitted under these terms that is not subject to arbitration shall be brought exclusively in the courts of Hong Kong.

Signelio reserves the right to update or modify these Terms of Service at any time. We will notify you of material changes via email or through a prominent notice on our platform at least 30 days before the changes take effect. Your continued use of the service after such modifications constitutes acceptance of the revised terms.
